  Banora Point & District Residents Association Incorporated

  1.     Name:     Banora Point and District Residents Association Incorporated

  2.    Objective:   The objective of the Banora Point & District Residents Asociation Incorporated exists to collect and receive information regarding matters affecting the interest of residents of Banora Point and surrounding areas, and to bring those matters to the notice of the public and/or relevant Government authority in accordance with the members wishes.

  3.   The Association shall be non-political and non-sectarian. 

  4.    All ratepayers, residents and owners of premises within the area covered by the Association shall be eligible for membership.

  5.    The financial year shall close on the 31st December of each year. The annual subscription for members shall be Five Dollars ($5.00) and subsequent fees shall be determined at each Annual General Meeting, which will take place at the scheduled meeting in February each year. 

  6.    All members whose subscriptions are unpaid on the first day of June in each year, shall thereupon cease to be members of the Association, except in cases of temporary absence from the district, when the members shall be deemed honorary members and so entitled to resume their privileges on renewal of their Annual Subscription.

  7.   The Association will meet monthly, on the first Monday of each month, from February to December, or at such times as Members may appoint.

  8.    At the Annual General Meeting, the Members present shall elect a President, who shall be Chairman of all meetings at which he is in attendance, two Vice-Presidents, a Secretary and a Treasurer, all of whom will form the Executive of the Association.  All positions shall be honorary. Any person seeking an Executive position is required to have been a member of the Association for a minimum of 12 months, or have previously been a long-serving member.

  9.   The Executive shall be empowered to deal with any urgent matters and report to the next General Meeting of the Association.

10.   Should any member of the Executive be absent from three (3) consecutive meetings of the Association without sufficient reason, the other members of the Executive may, at its discretion, declare the position vacant and recommend the election  of another member instead. The Executive shall meet when necessary and three (3) will constitute a quorum.

11.   The duties of the Executive shall be to carry into effect, between meetings, the objectives of the Association as stated in Rule 2, and they are hereby vested with full powers for that purpose. The Executive will investigate matters arising for the area and submit recommendations to the General Meetings for consideration, and to see that any  decisions made regarding these matters are carried out.

12.   The duties of the Secretary shall be to keep the records and minutes of the Association; to arrange all business for the consideration of the Association; to answer all correspondence, letters and applications; to arrange all business for the consideration of the Association; to give notice of all General and Special Meetings of the Association; to collect all statistical information that may be deemed advisable and to assist the Association in all matters connected with it; to keep a proper record of all members' names and addresses; to keep a members' register which shall be open for inspection by any member at any meeting.

13.   The Treasurer shall ensure that all money due to the Association is collected and received and that all payments authorised by the Association are made. The Treasurer shall keep books of account showing the financial affairs of the Association, and report to the members at the Annual General Meeting and the General Meetings.

14.   The members shall meet for the conduct of the General Business of the Association on the first Monday of the month as in Clause 7 above, or on such days as the members may appoint, and business of which notice has been given in writing to the Secretary at least twenty four (24) hours prior to such meeting, shall have precedence over any other General Business.Notice of meetings shall be deemed to have been given by the Secretary inserting in the Tweed Link or other suitable print media circulating in the area, a Notice of Meeting at least three (3) clear days prior to the date of the meeting.

15.   At the Annual General Meeting held in February of each year, a full report of the proceedings of the Association for the previous year shall be made,  the Treasurer's Financial Statement and Balance Sheet submitted, and officers for the ensuing year elected. The Annual General Meeting shall precede the normal monthly February General Meeting. A quorum for the Annual General Meeting and ordinary meetings will be eight (8).

16.   Special General Meetings of the Association shall be convened by the Executive, when required, by five (5) members of the Association making written request to the President or Secretary stating the reason therefore and three (3) clear days notice shall be given of any such meeting. At all Special General Meetings, 75% of members shall form a quorum if the number present is at least eight (8) persons.

17.   In the event of a quorum not being formed within fifteen (15) minutes of the time called for the meeting, it shall be in the power of the members then present to adjourn such meetings for any period not exceeding seven (7) days, and those present will then be deemed a quorum.

18.   At all meetings of the Association, all questions shall be decided by a show of hands, unless a secret ballot shall be demanded by any five (5) members present, except or otherwise provided for in these rules.

19.   No rule of the Association as contained herein shall be altered, annulled, or added to, except by a majority of the members present at a Special General Meeting called for that purpose.

20.   The decision of the members present as to the construction or interpretation of any rule, shall be conclusive and binding on all members of the Association.

21.   At any meeting of the Association, a member may move a motion on a point of order, against any other member or guest whose actions are considered by that member to be unacceptable behaviour. Such a motion may include exclusion from the meeting.

22.   The Association shall have the right of expelling any member deemed to have acted in a manner prejudicial to the interests of the Association, such expulsion to be by at least 75% majority of the votes taken at a Special General Meeting. Such member shall receive at least seven (7) days notice of the charge and be given an opportunity of being heard in his/her own defence.

23.   With the exception of the Inaugural Meeting, the consent of candidates for the Executive shall be obtained from the persons nominated. The names of all candidates for any office shall be in the hands of the Secretary of the Association, fourteen (14) days prior to the Annual General Meeting. If the number of eligible persons nominated exceeds the number required, the Secretary of the Association, who shall be the Returning Officer, shall conduct a ballot at the Annual General Meeting. The majority of votes taken at such meetings shall declare the elections. In the event of two (2) or more candidates receiving an equal number of votes for any office, the Secretary shall place the names of such candidates in a hat and the candidates shall be declared elected in the order in which they are withdrawn. In the event of there being no prior nominations for any positions, nominations shall be called from the floor on the night of the Annual General Meeting.

24.   Any vacancies of office bearers that occurs during the year may be filled by members at the next monthly meeting.

25.   The Secretary may be entitled to an Honorarium, the amount of which shall be determined annually. Executive members to be reimbursed for expenditure that is approved by 75% of members attending the next Ordinary Meeting following the expenditure.

26.   A copy of these Rules shall be kept with the Members' Register at all meetings. All Executive Officers shall hold a copy of these Rules.

27.   Should the Association be wound up, any funds will be handed to a charity or charities, at the discretion of the Executive.
